1. DISCLAIMER OF CONSEQUENTIAL DAMAGES

In no event shall THE LIFE or any parties, organizations or entities associated with the corporate brand name us or otherwise, mentioned at the website THE LIFE be liable for any damages whatsoever (including, without limitations, incidental and consequential damages, lost profits, or damage to computer hardware or loss of data information or business interruption) resulting from the use or inability to use the website, THE LIFE and the its material, whether based on warranty, contract, tort, or any other legal theory, and whether or not, such organization or entities were advised of the possibility of such damages.
In no event shall THE LIFE or any parties, organizations or entities associated with the corporate brand name us or otherwise, mentioned at the website, THE LIFE , be liable for any damages whatsoever (including, without limitations, incidental and consequential damages, lost profits, or damage to computer hardware or loss of data information or business interruption) resulting from the use or inability to use the website, THE LIFE and the it’s material, whether based on warranty, contract, tort, or any other legal theory, and whether or not, such organization or entities were advised of the possibility of such damages.

2. INDEMNIFICATION

You agree to indemnify, save, and hold THE LIFE , its affiliates, employees, officers, directors and partners harmless from any and all claims, losses, damages, and liabilities, costs and expenses, including without limitation legal fees and expenses, arising out of or related to:
    (i) Your use or misuse of the THE LIFE Services or of the website THE LIFE
   (ii) any violation by You of this Agreement or the SSOID Agreement; or
   (iii) any breach of the representations, warranties, and covenants made by You herein.
THE LIFE reserves the right, at your expense, to assume the exclusive defense and control of any matter for which You are required to indemnify THE LIFE , including rights to settle, and You agree to cooperate with we defense and settlement of these claims. We will use reasonable efforts to notify You of any claim, action, or proceeding brought by a third party that is subject to the foregoing indemnification upon becoming aware of it. This paragraph shall survive termination of this Agreement.

3. DISPUTE RESOLUTION

1. If any dispute, controversy or claim arises under this Agreement or in relation to any THE LIFE Service or our Platform, including any question regarding the existence, validity or termination of this Agreement or T&Cs (hereinafter Dispute), the parties shall use all reasonable endeavors to resolve such Dispute amicably. If the parties are unable to resolve the Dispute amicably within 30 days of the notice of such Dispute, THE LIFE may elect to resolve any Dispute by binding arbitration in accordance with the provisions of the Indian Arbitration & Conciliation Act, 1996 (hereinafter Act). In all arbitrations, each party will bear the expense of its own lawyers and preparation. This paragraph shall survive termination of this Agreement.

4. GOVERNING LAWS AND FORUM FOR DISPUTES

Subject to the Dispute Resolution section above, You agree to submit to the CHINSURAH jurisdiction, WEST BENGAL India for the purpose of litigating all such claims or disputes. This Agreement shall be governed by Indian law. This paragraph shall survive termination of this Agreement.

5. Limitation of Liability:

User agrees that neither THE LIFE nor its partners, officers or employee shall be liable for any direct or/and indirect or/and incidental or/and special or/and consequential or/and exemplary damages, resulting from the use or/and the inability to use the service or/and for cost of procurement of substitute goods or/and services or resulting from any goods or/and data or/and information or/and services purchased or/and obtained or/and messages received or/and transactions entered into through or/and from the service or/and resulting from unauthorized access to or/and alteration of user’s transmissions or/and data or/and arising from any other matter relating to the service, including but not limited to, damages for loss of profits or/and use or/and data or other intangible, even If THE LIFE has been advised of the possibility of such damages.
User further agrees that THE LIFE shall not be liable for any damages arising from interruption, suspension or termination of service, including but not limited to direct or/and indirect or/and incidental or/and special consequential or/and exemplary damages, whether such interruption or/and suspension or/and termination was justified or not, negligent or intentional, inadvertent or advertent.
User agrees that THE LIFE shall not be responsible or liable to user, or anyone, for the statements or conduct of any third party of the service. In sum, in no means THE LIFE’S total liability to the User for all damages or/and losses or/and causes of action exceed the amount paid by the User to THE LIFE if any, that is related to the cause of action.
